  7. END USER LICENSE AGREEMENT REDISTRIBUTION OR RENTAL NOT PERMITTED

  9. This Agreement has 3 parts. Part I applies if you have not purchased a
  10. license to the accompanying software (the "Software"). Part II applies
  11. if you have purchased a license to the Software. Part III applies to all
  12. license grants. If you initially acquired a copy of the Software without
  13. purchasing a license and you wish to purchase a license, contact
  14. Netscape Communications Corporation ("Netscape") on the Internet at
  15. http://www.netscape.com. As used in this Agreement, for residents of
  16. Europe or Africa, "Netscape" shall refer to Netscape Communications
  17. Ireland Limited; for residents of Japan, "Netscape" shall refer to
  18. Netscape Communications (Japan), Ltd.; for residents of all other
  19. countries, "Netscape" shall refer to Netscape Communications
  20. Corporation.

  22. PART I
  23.  
  24. TERMS APPLICABLE WHEN LICENSE FEES NOT (YET) PAID (LIMITED TO
  25. EVALUATION, EDUCATIONAL AND NON-PROFIT USE) LICENSE GRANT.  Netscape
  26. grants you a non-exclusive license to use the Software free of charge
  27. if (a) you are a student, faculty member or staff member of an
  28. educational institution (K-12, junior college, college or university,
  29. or the international equivalent, or a library), a staff member of a
  30. religious organization or an employee of an organization which meets
  31. Netscape's criteria for a charitable non-profit organization; or (b)
  32. your use of the Software is for the purpose of evaluating whether to
  33. purchase an ongoing license to the Software. The evaluation period for
  34. use by or on behalf of a commercial entity is limited to ninety (90)
  35. days; evaluation use by others is not subject to this ninety (90) day
  36. limit. Government agencies (other than public libraries) are not
  37. considered educational, religious or charitable non-profit
  38. organizations for purposes of this Agreement. If you are using the
  39. Software free of charge, you are not entitled to hard-copy
  40. documentation, support or telephone assistance. If you fit within the
  41. description above, you may use the Software in the manner described in
  42. Part III below under "Scope of Grant."

  44. DISCLAIMER OF WARRANTY.  Free of charge Software is provided on an "AS
  45. IS" basis, without warranty of any kind, including without limitation
  46. the warranties that the Software is free of defects, merchantable, fit
  47. for a particular purpose or non-infringing. The entire risk as to the
  48. quality and performance of the Software is borne by you. Should the
  49. Software prove defective in any respect, you and not Netscape or its
  50. suppliers assume the entire cost of any service and repair. In addition,
  51. the security mechanisms implemented by Netscape software have inherent
  52. limitations, and you must determine that the Software sufficiently meets
  53. your requirements. This disclaimer of warranty constitutes an essential
  54. part of this Agreement. No use of the software without payment of
  55. license fees to Netscape is authorized hereunder except under this
  56. Disclaimer.

  58. PART II
  59.  
  60. TERMS APPLICABLE WHEN LICENSE FEES PAID
  61.  
  62. LICENSE GRANT.  Subject to payment of applicable license fees,
  63. Netscape grants to you a non-exclusive license to use the Software and
  64. accompanying documentation ("Documentation") in the manner described
  65. in Part III below under "Scope of Grant."
  66.  
  67. LIMITED WARRANTY.  Netscape warrants that for a period of ninety (90)
  68. days from the date of acquisition, the Software, if operated as
  69. directed, will substantially achieve the functionality described in
  70. the Documentation. Netscape does not warrant, however, that your use
  71. of the Software will be uninterrupted or that the operation of the
  72. Software will be error-free or secure. In addition, the security
  73. mechanisms implemented by Netscape software have inherent limitations,
  74. and you must determine that the Software sufficiently meets your
  75. requirements.  Netscape also warrants that the media containing the
  76. Software, if provided by Netscape, is free from defects in material
  77. and workmanship and will so remain for ninety (90) days from the date
  78. you acquired the Software. Netscape's sole liability for any breach of
  79. this warranty shall be, in Netscape's sole discretion: (i) to replace
  80. your defective media or Software; or (ii) to advise you how to achieve
  81. substantially the same functionality with the Software as described in
  82. the Documentation through a procedure different from that set forth in
  83. the Documentation; or (iii) if the above remedies are impracticable,
  84. to refund the license fee you paid for the Software. Repaired,
  85. corrected, or replaced Software and Documentation shall be covered by
  86. this limited warranty for the period remaining under the warranty that
  87. covered the original Software, or if longer, for thirty (30) days
  88. after the date (a) of shipment to you of the repaired or replaced
  89. Software, or (b) Netscape advised you how to operate the Software so
  90. as to achieve the functionality described in the Documentation.

  92. Only if you inform Netscape of your problem with the Software during
  93. the applicable warranty period and provide evidence of the date you
  94. purchased a license to the Software will Netscape be obligated to
  95. honor this warranty. Netscape will use reasonable commercial efforts
  96. to repair, replace, advise or, for individual consumers, refund
  97. pursuant to the foregoing warranty within thirty (30) days of being so
  98. notified.  If any modifications are made to the Software by you during
  99. the warranty period; if the media is subjected to accident, abuse, or
  100. improper use; or if you violate the terms of this Agreement, then this
  101. warranty shall immediately terminate. Moreover, this warranty shall
  102. not apply if the Software is used on or in conjunction with hardware
  103. or software other than the unmodified version of hardware and software
  104. with which the Software was designed to be used as described in the
  105. Documentation.

  107. THIS IS A LIMITED WARRANTY, AND IT IS THE ONLY WARRANTY MADE BY
  108. NETSCAPE OR ITS SUPPLIERS. NETSCAPE MAKES NO OTHER WARRANTY,
  109. EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF
  110. NONINFRINGEMENT OF THIRD PARTIES' RIGHTS. YOU MAY HAVE OTHER 
  111. STATUTORY RIGHTS. HOWEVER, TO THE FULL EXTENT PERMITTED BY LAW,
  112. THE DURATION OF STATUTORILY REQUIRED WARRANTIES IF ANY, INCLUDING
  113. WITHOUT LIMITATION THE WARRANTIES THAT THE SOFTWARE IS FREE OF
  114. DEFECTS, MERCHANTABLE, AND FIT FOR A PARTICULAR PURPOSE, SHALL BE
  115. LIMITED TO THE ABOVE LIMITED WARRANTY PERIOD.  MOREOVER, IN NO 
  116. EVENT WILL WARRANTIES PROVIDED BY LAW, IF ANY, APPLY UNLESS THEY
  117. ARE REQUIRED TO APPLY BY STATUTE NOTWITHSTANDING THEIR EXCLUSION
  118. BY CONTRACT. NO NETSCAPE DEALER, AGENT, OR EMPLOYEE IS AUTHORIZED
  119. TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR ADDITIONS TO THIS 
  120. LIMITED WARRANTY.

  122. PART III
  123.  
  124. TERMS APPLICABLE TO ALL LICENSE GRANTS
  125.  
  126. SCOPE OF LICENSE GRANT. You may:
  127.     use the Software on any single computer;
  128.  
  129.     use the Software on a network, provided that each person
  130. accessing the Software through the network must have a copy licensed
  131. to that person;
  132.  
  133.     use the Software on a second computer so long as only one copy
  134. is used at a time;
  135.  
  136.     copy the Software for archival purposes, provided any copy
  137. must contain all of the original Software's proprietary notices; or
  138.  
  139.     if you have purchased licenses for a 10 Pack or a 50 Pack,
  140. make up to 10 or 50 copies, respectively, of the Software (but not the
  141. Documentation), or, if you have purchased licenses for multiple copies
  142. of the Software, make the number of copies of Software (but not the
  143. Documentation) which the packing slip or invoice states you have paid
  144. for, provided any copy must contain all of the original Software's
  145. proprietary notices. The number of copies on the invoice is the total
  146. number of copies that may be made for all platforms. Additional copies
  147. of Documentation may be purchased from Netscape.
  148.  
  149. You may not:
  150.  
  151.     permit other individuals to use the Software except under the terms
  152. listed above;
  153.  
  154.     permit concurrent use of the Software;
  155.  
  156.     modify, translate, reverse engineer, decompile, disassemble (except
  157. and solely to the extent an applicable statute expressly and
  158. specifically prohibits such restrictions), or create derivative works
  159. based on the Software;
  160.  
  161.     copy the Software other than as specified above;
  162.  
  163.     rent, lease, grant a security interest in, or otherwise transfer
  164. rights to the Software; or
  165.  
  166.     remove any proprietary notices or labels on the Software.
  167.  
  168. TITLE. Title, ownership rights, and intellectual property rights in
  169. the Software shall remain in Netscape and/or its suppliers. The
  170. Software is protected by copyright and other intellectual property
  171. laws and by international treaties. Title and related rights in the
  172. content accessed through the Software is the property of the
  173. applicable content owner and is protected by applicable law. The
  174. license granted under this Agreement gives you no rights to such
  175. content.
  176.  
  177. TERMINATION.  This Agreement and the license granted hereunder will
  178. terminate automatically if you fail to comply with the limitations
  179. described herein. Upon termination, you must destroy all copies of the
  180. Software and Documentation.
  181.  
  182. EXPORT CONTROLS.  None of the Software or underlying information or
  183. technology may be downloaded or otherwise exported or reexported (i)
  184. into (or to a national or resident of) Cuba, Iraq, Libya, Sudan, North
  185. Korea, Iran, Syria or any other country to which the U.S. has
  186. embargoed goods; or (ii) to anyone on the U.S. Treasury Department's
  187. list of Specially Designated Nationals or the U.S. Commerce
  188. Department's Table of Denial Orders. By downloading or using the
  189. Software, you are agreeing to the foregoing and you are representing
  190. and warranting that you are not located in, under the control of, or a
  191. national or resident of any such country or on any such list.
  192.  
  193. In addition, if the licensed Software is identified as a
  194. not-for-export product (for example, on the box, media or in the
  195. installation process), then, unless you have an exemption from the
  196. United States Department of State, the following applies: EXCEPT
  197. FOR EXPORT TO CANADA FOR USE IN CANADA BY CANADIAN CITIZENS, THE 
  198. SOFTWARE AND ANY UNDERLYING TECHNOLOGY MAY NOT BE EXPORTED
  199. OUTSIDE THE UNITED STATES OR TO ANY FOREIGN ENTITY OR "FOREIGN
  200. PERSON" AS DEFINED BY U.S. GOVERNMENT REGULATIONS, INCLUDING
  201. WITHOUT LIMITATION, ANYONE WHO IS NOT A CITIZEN, NATIONAL OR
  202. LAWFUL PERMANENT RESIDENT OF THE UNITED STATES. BY DOWNLOADING
  203. OR USING THE SOFTWARE, YOU ARE AGREEING TO THE FOREGOING AND
  204. YOU ARE WARRANTING THAT YOU ARE NOT A "FOREIGN PERSON" OR UNDER
  205. THE CONTROL OF A FOREIGN PERSONE LIMITATION OF LIABILITY. UNDER
  206. NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR
  207. OTHERWISE, SHALL NETSCAPE OR ITS SUPPLIERS OR RESELLERS BE
  208. LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL,
  209. INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING,
  210. WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE,
  211. COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL
  212. DAMAGES OR LOSSES. IN NO EVENT WILL NETSCAPE BE LIABLE FOR ANY
  213. DAMAGES IN EXCESS OF THE AMOUNT NETSCAPE RECEIVED FROM YOU FOR A
  214. LICENSE TO THE SOFTWARE, EVEN IF NETSCAPE SHALL HAVE BEEN
  215. INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY
  216. ANY OTHER PARTY. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO
  217. LIABILITY FOR DEATH OR PERSONAL INJURY RESULTING FROM NETSCAPE'S
  218. NEGLIGENCE TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION.
  219. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF
  220. INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS EXCLUSION AND
  221. LIMITATION MAY NOT APPLY TO YOU.
  222.  
  223. HIGH RISK ACTIVITIES.  The Software is not fault-tolerant and is not
  224. designed, manufactured or intended for use or resale as on-line
  225. control equipment in hazardous environments requiring fail-safe
  226. performance, such as in the operation of nuclear facilities, aircraft
  227. navigation or communication systems, air traffic control, direct life
  228. support machines, or weapons systems, in which the failure of the
  229. Software could lead directly to death, personal injury, or severe
  230. physical or environmental damage ("High Risk
  231. Activities"). Accordingly, Netscape and its suppliers specifically
  232. disclaim any express or implied warranty of fitness for High Risk
  233. Activities.
  234.  
  235. MISCELLANEOUS.  If the copy of the Software you received was
  236. accompanied by a printed or other form of "hard-copy" End User License
  237. Agreement whose terms vary from this Agreement, then the hard-copy End
  238. User License Agreement governs your use of the Software. This
  239. Agreement represents the complete agreement concerning the license
  240. granted hereunder and may be amended only by a writing executed by
  241. both parties.

  243. THE ACCEPTANCE OF ANY PURCHASE ORDER PLACED BY YOU IS EXPRESSLY MADE
  244. CONDITIONAL ON YOUR ASSENT TO THE TERMS SET FORTH HEREIN, AND NOT
  245. THOSE IN YOUR PURCHASE ORDER. If any provision of this Agreement is
  246. held to be unenforceable, such provision shall be reformed only to the
  247. extent necessary to make it enforceable. This Agreement shall be
  248. governed by California law (except to the extent applicable law, if
  249. any, provides otherwise). The application of the United Nations
  250. Convention of Contracts for the International Sale of Goods is
  251. expressly excluded.  U.S. GOVERNMENT END USERS.  The Software is
  252. a "commercial item," as that term is defined in 48 C.F.R. 2.101
  253. (Oct. 1995), consisting of "commercial computer software"
  254. and "commercial computer software documentation," as such terms are
  255. used in 48 C.F.R. 12.212 (Sept. 1995).  Consistent with 48
  256. C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4 (June 1995),
